These Terms of Service ("Terms") constitute a legally binding agreement between Pack3D LTD, a company registered in England and Wales ("Pack3D", "we", "us"), and the organisation or individual ("you" or "Client") accessing or using our Services. By using any Pack3D Service, you agree to these Terms.
1. Agreement & Acceptance
These Terms apply from the date you first access or use any Pack3D Service, or from the date of any separate written agreement incorporating these Terms, whichever is earlier. Where you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Definitions
- "Services" — the Pack3D logistics platform at app.pack3d.com, the pack3d.com website, the Pack3D API, and related software, tools, and support.
- "Client Data" — any data, content, or materials uploaded or processed through the Services by or on behalf of the Client.
- "API" — the Pack3D application programming interface and associated documentation.
- "Order" — a fulfilment instruction submitted to Pack3D for processing through the logistics network.
- "Consignee" — the end recipient of a physical shipment.
- "Confidential Information" — any non-public information designated as confidential or that a reasonable person would consider confidential.
3. The Services
Pack3D provides a cloud-native logistics orchestration platform including: inventory registration and SKU management; inbound replenishment and outbound fulfilment orchestration; real-time shipment tracking and carrier telemetry; webhook-based event notifications; and API access for programmatic integration. Pack3D may modify, suspend, or discontinue aspects of the Services with reasonable notice.
4. Account Registration & Security
You agree to provide accurate registration information, maintain the security of your credentials, notify Pack3D immediately of any suspected unauthorised use at security@pack3d.com, and accept responsibility for all activity under your account.
5. Acceptable Use
You must not use the Services to: process orders for prohibited, illegal, counterfeit, or hazardous goods; gain unauthorised access to any system; reverse engineer any part of the Services; transmit malicious code; misrepresent your identity; or violate applicable UK or international law.
6. API Access
API credentials must not be shared or made publicly available. You must implement the API per Pack3D’s documentation including OAuth 2.0 with PKCE where required. Rate limits apply; exceeding them may result in temporary suspension. You are solely responsible for the security of any systems you build using the Pack3D API.
7. Intellectual Property
All intellectual property in the Services is owned by or licensed to Pack3D. These Terms grant only the limited licence to use the Services as described herein. You retain ownership of all Client Data and grant Pack3D a non-exclusive, royalty-free licence to access and process it solely to provide and improve the Services.
8. Data & Privacy
Personal data processing is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement. Where you submit personal data relating to Consignees or other third parties, you warrant you have a lawful basis to do so.
9. Fees & Payment
Fees are set out in your separate commercial agreement. Unless otherwise agreed: invoices are issued monthly in arrears, payable within 30 days; all fees exclude VAT; late payment may incur interest at 8% p.a. above the Bank of England base rate (Late Payment of Commercial Debts (Interest) Act 1998); disputed invoices must be raised in writing within 14 days.
10. Limitation of Liability
To the maximum extent permitted by law: Pack3D’s total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. Pack3D shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Nothing limits liability for death or personal injury caused by negligence, or fraud.
11. Warranties & Disclaimers
Pack3D warrants it will provide the Services with reasonable skill and care. The Services are otherwise provided on an “as is” basis. To the maximum extent permitted by law, Pack3D excludes all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
12. Indemnification
You agree to indemnify Pack3D against claims arising from: your use of the Services in breach of these Terms; your violation of applicable law; your Client Data infringing third-party rights; or your negligence or wilful misconduct.
13. Term & Termination
These Terms remain in effect while you use the Services. Either party may terminate on the notice period specified in your commercial agreement (default: 30 days written notice). Pack3D may immediately suspend or terminate for material breach, non-payment (after 14-day remedy period), insolvency, or legal requirement. Provisions that should survive termination do so.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales. Before commencing proceedings, both parties agree to attempt resolution through 30 days of good-faith negotiation.
15. General
- Entire agreement: These Terms (plus your commercial agreement and any DPA) constitute the complete agreement, superseding all prior understandings.
- Amendments: Pack3D may update these Terms with reasonable notice; continued use constitutes acceptance.
- Severability: If any provision is unenforceable, the remainder continues in full force.
- Waiver: Failure to exercise a right does not constitute a waiver of that right.
- Force majeure: Pack3D is not liable for delays caused by circumstances beyond its reasonable control.
- Assignment: You may not assign these Terms without Pack3D’s written consent. Pack3D may assign in connection with a business transfer.
- Third parties: These Terms do not confer rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
